Job Description:
A company is looking for a GCM Shareholder Representative to
represent the interests of selling shareholders during the
post-closing indemnification period of M&A transactions.
Key Responsibilities:
Monitor M&A transactions and manage indemnification claims and
disputes
Serve as the primary contact for clients and outside counsel,
providing regular updates on transactions
Review acquisition agreements and draft correspondence related to
indemnification claims
Required Qualifications, Training, and Education:
Juris Doctorate (JD) degree and a minimum of 1 year of paralegal
experience, or 8 years of combined higher education and work
experience including 1 year of paralegal experience
Minimum of 2 years of legal and/or litigation experience
preferred
Knowledge of mergers and acquisitions, tax, life sciences, or
intellectual property preferred
Experience managing multiple tasks simultaneously under tight
deadlines
Proficiency with pertinent spreadsheet software
